COMMERCIAL PARTNERSHIP TERMS – VALE CASH BACK INC.

Welcome to the Partnership Program of Vale Cash Back Inc. By completing your registration and selecting "I Read and Accept", the MERCHANT fully agrees to the terms below.

1. IDENTIFICATION OF THE PARTIES

VALE CASH BACK INC., located at 145 Tremont Street, Boston, MA 02111, provides a cashback platform designed to increase partner merchants' sales and customer loyalty.

The MERCHANT is the individual or legal entity registering on the application and electronically accepting these terms.

2. PURPOSE OF THE PARTNERSHIP

The partnership aims to allow customers of the Vale Cash Back network to make purchases at partner establishments and receive benefits through the application upon submission and validation of receipts.

3. SALES COMMISSION

3.1. The MERCHANT agrees to pay Vale Cash Back a commission on sales made to platform customers.

3.2. The commission percentage ranges from 2% to 10%, according to the business segment and plan.

3.3. Applicable rates are available in the MERCHANT administrative panel.

4. BILLING AND PAYMENT

4.1. Commissions are calculated based on validated sales.

4.2. When accumulated balance reaches $30.00, a charge is generated for payment.

4.3. Non-payment may result in temporary suspension of platform benefits.

5. APPLICABLE LAW

These terms shall be governed by the laws of the Commonwealth of Massachusetts, United States of America.
